These Terms of Service ("Terms") govern your access to and use of the Ultra Overview application and related services (the "Service") provided by Optimus Land Solutions ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is a business tool for septic and land-services contractors that helps prepare quotes and estimates, including AI-assisted reading of uploaded septic design documents, calculation of estimated material quantities and system dimensions, customer management, job management, invoices, scheduling, expenses, and related business records. The Service is an estimating and business-management aid only.
You must be at least the age of majority in your province and able to form a binding contract. You are responsible for the accuracy of your account information, for safeguarding your credentials, for managing access by your team members, and for all activity under your account. Notify us promptly of any unauthorized use.
This is a material term. The Service produces estimates generated by software and by automated analysis of documents you provide. Outputs — including system type, dimensions, material tonnages, and any references to the Ontario Building Code — are for planning and quoting convenience only. They are not an engineered design, a professional opinion, or a substitute for:
You are solely responsible for verifying all quantities, dimensions, and code compliance against the approved design before ordering materials, pricing work, or installing any system. You assume all risk arising from reliance on Service outputs.
The Service may use AI or automated tools to read uploaded drawings, documents, receipts, forms, or notes. AI outputs can be incomplete, inaccurate, misread, or affected by poor scan quality, missing pages, unusual drawings, unclear dimensions, or other factors. You must review and correct all extracted data before using it in a quote, invoice, installation, permit submission, client communication, or business decision.
You are responsible for the accuracy and legality of all quotes, invoices, emails, public quote links, acceptance language, contract terms, prices, taxes, permits, warranty terms, and client-facing documents you create or send through the Service. If you use the Service to send commercial electronic messages, you are responsible for complying with Canada's Anti-Spam Legislation and any other applicable consent, identification, and unsubscribe requirements.
Paid plans are billed through our payment processor (Stripe). By subscribing you authorize recurring charges for the plan you select until you cancel. Free trials, if offered, convert to paid plans unless cancelled before the trial ends. Fees are exclusive of taxes unless stated. Except where required by law, payments are non-refundable. You can cancel at any time; access continues until the end of the current billing period. We may change pricing on prospective notice.
You are responsible for determining, charging, collecting, remitting, and reporting any applicable taxes, permit fees, government fees, payroll obligations, employment obligations, bookkeeping entries, and other business compliance obligations related to your use of the Service.
You agree not to misuse the Service, including: uploading content you lack the right to use; uploading unlawful or highly sensitive information unless necessary and authorized; attempting to breach security or access other tenants' data; reverse engineering except as permitted by law; using the Service to violate any law; or overloading, scraping, reselling, or disrupting the Service.
You retain ownership of the documents, client information, and other content you submit ("Customer Data"). You grant us a limited licence to host and process Customer Data to operate the Service, including transmitting uploaded documents to our sub-processors for analysis (see the Privacy Policy). You are responsible for having the necessary rights and consents for the Customer Data you submit.
The Service relies on third parties including OpenAI (document/drawing analysis), Stripe (payments), Amazon Web Services (hosting, email and document text extraction), and Google (address lookup). Your use may be subject to their terms, and we are not responsible for third-party services.
We may update, improve, suspend, or discontinue parts of the Service. We aim to keep the Service available, but we do not guarantee uninterrupted access. You are responsible for exporting or keeping copies of business records that you require for legal, tax, accounting, permit, insurance, warranty, or operational purposes.
We and our licensors own the Service, its software, and its content (excluding Customer Data). These Terms do not grant you any rights in our intellectual property except the limited right to use the Service.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that outputs are accurate or code-compliant or that the Service will be uninterrupted or error-free.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, material over- or under-orders, rework, or installation costs, arising from or related to the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold us harmless from claims arising out of your Customer Data, your use of the Service, your reliance on its outputs, or your breach of these Terms.
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends; provisions that by their nature should survive (e.g., disclaimers, liability limits) survive.
We may update these Terms. Material changes will be posted here with a new "Last updated" date; continued use after changes means you accept them.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario have exclusive jurisdiction.
